Terms of Service
Not for emergencies. KeyUp is not a replacement for emergency radios or 911. It depends on internet service, our servers and your device’s battery, any of which can fail. In an emergency, call 911 or your local emergency number, and follow your workplace’s safety procedures.
These terms are an agreement between you and KeyUp (“KeyUp”, “we”, “us”) for using the KeyUp apps, web app and website (the “Service”). By using the Service you agree to them. If you use KeyUp for an organization, you agree on its behalf and confirm you’re allowed to.
1. The beta
KeyUp is in beta. That means features will change, things may break, and data could occasionally be lost. The beta is free: we won’t charge you anything during it. Before any paid plan starts we’ll tell you in advance, and you’ll only be charged if you choose a paid plan. Founding-member pricing offered to beta members will be honored as described when you sign up.
We may ask for feedback. If you give it, we can use it to improve KeyUp without owing you anything.
2. Your account
- You must be at least 13 (or the minimum age in your country) to use KeyUp.
- Give accurate information and keep your sign-in secure. You’re responsible for activity on your account.
- Space owners and admins are responsible for who they invite, the guest passes they create, and the features they turn on (like Rewind, transcripts and the AI assistant). That includes getting any consent their members or local law require.
3. Acceptable use
Don’t use KeyUp to:
- Break the law, or record or transcribe people without the consent the law requires.
- Harass, threaten, or abuse anyone, or share hateful, sexually explicit or violent content.
- Share content that exploits or harms children.
- Send spam, malware, or content you don’t have the right to share.
- Impersonate someone, or misrepresent your connection to a person or organization.
- Interfere with the Service: probe, overload or reverse-engineer it, bypass limits or security, or access accounts or data that aren’t yours (good-faith security research under our Security policy is welcome).
- Use it to operate safety-critical systems or as your only means of emergency communication.
4. Your content
You own what you say, send and share. You give us permission to host, relay, store and process it only as needed to run the Service for you and the people you share it with, including for optional features your Space turns on. Our Privacy Policy explains how we handle it.
5. Optional AI features
If your Space turns on the AI assistant, questions are handled by the AI company the Space owner connected with their own API key, under that company’s terms. KeyUp doesn’t provide or charge for AI on any plan. The Space owner is responsible for that account with the AI company and for anything it bills. AI answers can be wrong, so check anything important.
6. Ending your use
You can stop using KeyUp and delete your account at any time from the app. We may suspend or close accounts that break these terms, put others at risk, or create legal exposure for us. We’ll tell you why when we reasonably can. We may also end the beta or change or discontinue features; if we shut down the Service, we’ll give reasonable notice and a way to export your data.
7. Disclaimers
The Service is provided “as is” and “as available”, especially during the beta. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t promise the Service will be uninterrupted, error-free, or that every transmission will be delivered.
8. Limitation of liability
To the fullest extent the law allows, KeyUp won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US $50. Some places don’t allow these limits, so they may not fully apply to you.
9. Indemnity
If you use KeyUp in a way that breaks these terms or the law and someone makes a claim against us because of it, you agree to cover our reasonable costs of dealing with that claim.
10. Governing law
These terms are governed by the laws of [STATE / COUNTRY, to be confirmed], without regard to conflict-of-law rules. Disputes will be handled in the courts located in [VENUE, to be confirmed], unless the law where you live gives you the right to bring a claim elsewhere.
11. Changes
We may update these terms. If a change is significant, we’ll let you know in the app or by email before it takes effect. If you keep using KeyUp after that, the new terms apply.
